These Terms of Service ("Terms") are a legal agreement between you ("User", "you", or "your") and Gonga Inc. ("Gonga", "we", "us", or "our") governing your access to and use of the Gonga platform, including all related services, features, and integrations (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our End User License Agreement. If you do not agree to these Terms, do not access or use the Service. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Gonga is an AI-powered operational platform designed for construction companies. The Service provides tools for project management, financial oversight, communication, and workflow automation. Gonga integrates with third-party services including Gmail, Google Drive, Google Contacts, QuickBooks Online, Shopify, and Lightspeed to centralize your business operations.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and that you are authorized to bind the organization on whose behalf you are using the Service.
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@gonga.ai of any unauthorized use of your account.
You may use the Service solely for your lawful internal business operations. You agree not to:
The Service integrates with third-party platforms including QuickBooks Online, Gmail, Google Drive, Google Contacts, Shopify, and Lightspeed. When you connect a third-party service, you authorize Gonga to access and retrieve data from that service on your behalf, solely to provide the features of the Service.
Your use of third-party integrations is subject to the respective third-party terms of service and privacy policies. Gonga is not responsible for the availability, accuracy, or practices of third-party services. You may disconnect any integration at any time through the Service settings. Gonga's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. For a complete description of how Gonga accesses, uses, stores, and shares Google user data, please refer to Section 5 of our Privacy Policy.
The Service, including its design, features, code, documentation, trademarks, and logos, is the property of Gonga and is protected by intellectual property laws. These Terms do not grant you any rights to Gonga's intellectual property except for the limited right to use the Service as described herein.
You retain all ownership rights to your data. By using the Service, you grant Gonga a limited license to process, store, and transmit your data solely to provide and improve the Service. We will not sell your data to third parties.
Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as expressly stated in a separate agreement. We reserve the right to change pricing with at least 30 days' advance notice.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.
To the maximum extent permitted by applicable law, Gonga shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
In no event shall Gonga's total liability to you exceed the amount you have paid to Gonga in the twelve (12) months preceding the event giving rise to the claim.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Gonga does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
You agree to indemnify, defend, and hold harmless Gonga and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your data or content submitted through the Service.
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately and without notice if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period following termination, unless retention is required by law. Sections that by their nature should survive termination (including Limitation of Liability, Disclaimer of Warranties, Indemnification, and Governing Law) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service or by email at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
